Optrom,Ink(Head office:Sendai,Miyagi;President & CEO:Kazuhiro Miura; Code7824; hereafter called "Optrom")signed a memorandum of understanding today with GREEN TEC POWER INTERNATIONAL LTD. (Head office:Hong Kong;President & CEO:Mamoru Wada;"GTPI"hereafter)to make this company a wholly owned
subsidiary of Optrom through an exchange of GTPI stock for Optrom stock. GTPI is to become a wholly owned subsidiary of Green Tec,Ink., which currently has no business activies.
